Acceptance of Terms

By using the Services of AMRUT, you expressly agree to these Terms, our Privacy Policy, Meta Business Policies, WhatsApp Commerce Policies, telecom regulations, and all operational guidelines issued by AMRUT from time to time.

You confirm and warrant that:

  • You are legally capable of entering into binding agreements;
  • You possess authority to represent your organization if acting on behalf of a company;
  • You will comply with all applicable laws and communication regulations;
  • Information provided to AMRUT is accurate and current.

Continued use of the Services constitutes ongoing acceptance of these Terms and future amendments.

Third-party platforms including Meta, Google, telecom operators, or cloud providers may independently alter or discontinue functionalities affecting the Services.


Eligibility

To use the Services, you must:

  • Be at least 18 years old;
  • Be legally authorized to operate a business or organization;
  • Not be prohibited from using digital communication services under Indian law;
  • Comply with Meta and telecom compliance requirements.

AMRUT reserves the right to refuse or suspend access to any user who fails verification or compliance requirements.


Account Registration

Users agree to:

  • Maintain updated contact and billing information;
  • Protect login credentials and authentication details;
  • Notify AMRUT immediately regarding unauthorized account access.

AMRUT may request:

User Responsibilities

Payment & Billing Terms

  • Messaging charges;
  • Setup and onboarding fees;
  • Third-party provider costs.

Payments shall:

  • Be made within specified due dates;
  • Be non-refundable unless expressly stated;
  • Exclude applicable taxes and GST.

Failure to pay outstanding invoices may result in temporary suspension or permanent termination of Services.

AMRUT reserves the right to revise pricing with reasonable prior notice.


Subscription Renewal & Termination

Certain Services operate on recurring billing cycles.

Subscriptions may renew automatically unless canceled before the renewal date.

AMRUT may suspend or terminate Services in cases involving:

  • Non-payment;
  • Policy violations;
  • Fraudulent or suspicious activity;
  • Regulatory or compliance concerns;
  • Platform restrictions imposed by Meta or telecom operators.

Users may request cancellation through official support channels.

Termination does not waive outstanding payment obligations or liabilities accrued prior to termination.


Use of WhatsApp Official API & RCS

Users utilizing WhatsApp API or RCS services through AMRUT must comply with:

  • Meta Business Messaging Policies;
  • WhatsApp Commerce Policies;
  • Google RCS guidelines;
  • TRAI regulations;
  • Anti-spam regulations;
  • Applicable telecom requirements.

Users acknowledge and agree that:

  • Template approvals are controlled solely by Meta;
  • Telecom operators may reject or filter messages;
  • Delivery rates may vary;
  • AMRUT cannot guarantee uninterrupted delivery or platform approval.

AMRUT functions as a service provider and does not independently control Meta or telecom infrastructure.


Message Delivery & Compliance Policy

AMRUT promotes ethical and permission-based communication practices.

Users must:

  • Obtain explicit recipient consent before messaging;
  • Maintain proof of opt-in;
  • Provide clear opt-out instructions;
  • Respect recipient privacy rights.

AMRUT reserves the right to:

  • Monitor campaigns for compliance;
  • Suspend suspicious messaging activities;
  • Restrict prohibited industries or content;
  • Cooperate with regulatory authorities where legally required.

Repeated violations may result in permanent service termination.


Intellectual Property Rights

All intellectual property related to AMRUT including software, APIs, branding, trademarks, graphics, documents, systems, and website content remains the exclusive property of AMRUT or its licensors.

Users receive a limited, non-exclusive, non-transferable license to access and use the Services for lawful business purposes only.

Users shall not:

  • Reverse engineer systems;
  • Reproduce proprietary software;
  • Copy platform architecture;
  • Use branding without authorization;
  • Resell Services unlawfully.

Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information exchanged during the course of using the Services.

Confidential information includes:

  • Business strategies;
  • Technical systems;
  • Client information;
  • Pricing structures;
  • API credentials;
  • Communication data.

Disclosure is permitted only:

  • With prior written consent;

Confidentiality obligations continue even after termination of Services.


Disclaimer of Warranties

AMRUT does not guarantee:

  • Error-free Services;
  • Guaranteed message delivery;
  • Continuous third-party integrations;
  • Specific business outcomes.

To the maximum extent permitted by law, AMRUT disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.


Limitation of Liability

To the fullest extent permitted under Indian law, AMRUT shall not be liable for:

  • Indirect or consequential damages;
  • Loss of profits or revenue;
  • Business interruptions;
  • Data loss;
  • Third-party platform failures;
  • Telecom disruptions;
  • Delayed or failed message delivery.

The total aggregate liability of AMRUT shall not exceed the total amount paid by the user during the preceding three months of service usage.


Indemnification

You agree to indemnify and hold harmless AMRUT, its employees, directors, affiliates, and service providers against claims, liabilities, penalties, damages, and expenses arising from:

  • Violation of these Terms;
  • Unlawful messaging activity;
  • Breach of applicable laws;
  • Intellectual property violations;
  • User-generated content;
  • Misuse of Services.

Governing Law (India)

These Terms shall be governed and interpreted in accordance with the laws of India.

Any disputes arising in relation to these Terms shall be subject to the exclusive jurisdiction of competent courts located in Maharashtra, India.

Parties agree to attempt amicable resolution before initiating legal proceedings.


Changes to Terms

AMRUT reserves the right to modify these Terms at any time.

Updated Terms become effective immediately upon publication on the official website or communication through authorized channels.

Continued use of the Services following updates constitutes acceptance of revised Terms.
